These Terms and Conditions (the “Terms”) govern all Matterport 3D scanning, hosting, and related services provided by Carolina Aerials, LLC, operating as Southeast 3D Tours (“we,” “us,” “Southeast 3D Tours”), to the person or business ordering the services (“you,” “Customer”). By booking a scan, accepting an estimate, or paying an invoice that references these Terms, you agree to them. For larger commercial and construction projects we may ask you to sign a separate Services Agreement; if we do, that agreement controls where it conflicts with these Terms.
We capture your property with a Matterport Pro3 camera and deliver a Matterport Space: a 3D model hosted on Matterport's platform that includes Inside (walkthrough) mode, Dollhouse mode, Floor Plan mode, and a shareable URL and embed code. Add-ons such as schematic floor plans, aerial photography, MatterPak bundles, E57 point cloud exports, and CAD/BIM deliverables are provided only when listed on your estimate or invoice.
We will make your Matterport Space available within 48 hours after the scan is completed. Schematic floor plans may take an additional 24 hours. Point cloud, MatterPak, and CAD deliverables are delivered on the timeline stated in your estimate. Delivery times are targets, not guarantees; see Section 9.
Matterport Spaces are hosted solely on Matterport's platform. Unless you have ordered a data export (Section 3), you will not receive the underlying 3D files — you receive a URL and embed code. Snapshots and floor plans are delivered by email or download link.
We host your Matterport Space on our Matterport account for 12 months from the date the scan is completed, at no additional charge.
At any time during the hosting term, you may request that we transfer the Space to your own Matterport account at no charge. Once transferred, the Space is yours to manage; our hosting obligation ends, and you become responsible for any Matterport subscription fees on your account. We may keep an archival copy of the scan data.
About 30 days before the hosting term ends, we will email you with your options. If you have not requested a transfer by the end of the term, the Space is archived: it becomes inaccessible to the public and the URL and embed code stop working. Archived Spaces are retained as a courtesy, not as an obligation; we do not guarantee any retention period.
You may request that an archived Space be reactivated or transferred. An unarchive fee may apply, and reactivation depends on the scan data still being available on Matterport's platform.
If you order a MatterPak, E57 point cloud, OBJ, or similar export, we deliver the files by download link. Those files are licensed to you for your own use in connection with the property (Section 6). Export files are generated by Matterport's platform, and their format and contents are determined by Matterport.
We retain scan data where practical so that additional deliverables (floor plans, point clouds, CAD, BIM) can be ordered later without a return visit. This is a courtesy, not a promise: we may delete scan data at any time, and we are not liable for any loss of scan data. If long-term retention matters to you, order an export and keep your own copy.
Matterport models and the measurements, floor plans, and point clouds derived from them are not survey-grade. Matterport states typical dimensional accuracy within roughly 1%; actual results vary with site conditions. Do not rely on our deliverables as a substitute for a licensed survey, an as-built drawing prepared by a design professional, or an ANSI-standard square footage measurement. You are solely responsible for any square footage or dimensions you publish in a listing, marketing material, permit application, or contract.
Before the scan, you (or the property owner or occupant, as applicable) must:
If the property is not reasonably ready when we arrive, we will, at our discretion, either scan it as-is or treat the visit as a late reschedule under Section 5.4. We are not responsible for clutter, staging, or the condition of the property as captured.
Mirrors, windows, glass, and reflective surfaces can produce visual artifacts, and minor alignment imperfections are inherent to 3D capture. These are not defects.
You are responsible for anything visible in the scan, including people, photos, documents, screens, and personal belongings. Neither Southeast 3D Tours nor Matterport is responsible for personal or confidential information captured in a Space.
You represent that you have the right to give us access to the property and to have it captured, published, and distributed as a 3D model. If you are an agent, property manager, contractor, or other representative, you are responsible for obtaining the owner's permission.
You or your representative should be available at the property during the scan to confirm scope and answer questions. If no one is available, we will use reasonable judgment and the scope on your estimate.
Our current rates and minimum booking fee are published on our pricing page. Your estimate controls if it differs. Per-square-foot pricing is based on the area actually captured as measured by the Matterport model, not on listing or tax-record square footage; if the measured area differs materially from the estimate, we will adjust the invoice accordingly.
Projects with a total estimate over $2,000, and projects outside our standard service area, require a non-refundable 50% deposit before the scan is scheduled. The deposit is credited against the final invoice.
The balance is due on completion of the scan unless your estimate states other terms. Overdue amounts accrue interest at 1% per month (or the maximum rate allowed by law, if lower). While an invoice is overdue, we may make the Space private and withhold deliverables until payment is received.
We ask for at least 48 hours' notice to cancel or reschedule.
Fees do not include sales, use, or similar taxes, which are added to your invoice where applicable.
Southeast 3D Tours and its licensors (including Matterport) own all rights, including intellectual property rights, in the 3D Services, the Matterport Spaces we create, and the underlying scan data, except to the extent a Space has been transferred to you under Section 2.2. All rights not expressly granted to you are reserved.
While your Space is hosted by us, you have a non-exclusive, non-transferable, non-sublicensable license to use and distribute the URL and embed code for the Space, and to use any snapshots, floor plans, and export files you ordered, for marketing, documenting, managing, selling, leasing, or building the property that was scanned. You may share the link with clients, buyers, tenants, lenders, contractors, and the public.
You may not: (a) disable or modify hyperlinks or attribution within a Space; (b) remove copyright or trademark markings; (c) decompile, reverse engineer, or extract data from a Space or Matterport's software; (d) access a Space through Matterport's API or any means other than normal end-user functionality without Matterport's authorization; (e) create derivative works from a Space; or (f) display a Space alongside content that is fraudulent, illegal, pornographic, hateful, or deceptive.
You may ask us at any time to make a Space public or private, and we will do so promptly.
We may display Spaces, snapshots, and aerial images we have created in our portfolio, website, social media, and marketing, and may list your name or company as a customer, unless you ask us in writing not to. We will honor any such request promptly.
We are an independent Matterport Service Partner, not an employee, contractor, or agent of Matterport, Inc. We provide Matterport Spaces under a license between Matterport and us. Matterport's platform, features, availability, and pricing are outside our control, and we are not responsible for changes Matterport makes.
Aerial photography and drone add-ons are performed by Carolina Aerials, LLC under FAA Part 107. Drone work is subject to weather, airspace restrictions, and FAA rules on the day of the scan. If a flight cannot be safely or legally completed, we will reschedule the aerial portion or remove it from your invoice; the ground scan proceeds as planned.
We will perform our work in a timely and workmanlike manner consistent with industry standards. If we fail to, your sole remedy is for us to re-perform the work, or re-scan at our discretion, to correct the problem.
Except as stated above, all services and deliverables are provided “as is” and “as available,” without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the services will meet your requirements, be accurate or reliable, be uninterrupted or error-free, or be delivered by any particular time. Some jurisdictions do not allow these disclaimers, so some may not apply to you.
You agree to defend, indemnify, and hold harmless Carolina Aerials, LLC, its licensors (including Matterport), and their owners, employees, and agents from any third-party claim, and the resulting damages, costs, and reasonable attorneys' fees, to the extent it arises from: (a) your breach of these Terms; (b) your use or distribution of the Services or deliverables; (c) any claim that you did not have the right to give us access to the property or to have it captured, published, or distributed; or (d) your fraud, gross negligence, or willful misconduct, or that of your agents or subcontractors. We will notify you promptly of any such claim and cooperate in its defense at your expense. You may not settle a claim on our behalf without our written consent unless the settlement fully releases us.
Except for indemnification obligations, your breach of Section 6, or a party's gross negligence or willful misconduct: (a) neither party is liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost sales or leases, or loss of data; and (b) each party's total liability under these Terms is limited to the fees you paid us for the project giving rise to the claim.
You are solely responsible for the preparation of the property and for any people, objects, or information visible in a Space. Some jurisdictions do not allow these limitations, so some may not apply to you.
These Terms apply from the time you book until the later of (a) completion of all services and payment in full, or (b) the end of the hosting term under Section 2, including any transfer or archive.
Either party may terminate a project immediately by written notice if the other party materially breaches these Terms and does not cure within 30 days of written notice, or becomes insolvent.
On termination, your license under Section 6.2 ends and we may make any hosted Space private, except for Spaces already transferred to you. You remain responsible for all fees accrued through termination. If you terminate for our uncured breach, we will refund any unused prepaid fees within 30 days. Sections 3.2, 3.3, 4.4, 4.5, 6.1, 6.3, 6.5, 7, 9, 10, 11, 12.3, and 14 survive termination.
Neither party is liable for delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, including severe weather, natural disaster, power or internet outages, Matterport platform outages, illness, government action, or airspace restrictions. If such an event prevents performance for more than 30 days, either party may cancel the affected project and we will refund any unused prepaid fees.
